Terms of Service

THIS AGREEMENT GOVERNS CUSTOMER’S ACQUISITION AND USE OF THE SERVICE. BY ACCEPTING THIS AGREEMENT, EITHER BY CLICKING A BOX INDICATING ACCEPTANCE OR BY EXECUTING A SERVICE ORDER FORM THAT REFERENCES THIS AGREEMENT, CUSTOMER HEREBY AGREES TO THE TERMS OF THIS AGREEMENT. IF THE PERSON ENTERING INTO THIS AGREEMENT IS DOING SO ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, SUCH PERSON HEREBY REPRESENTS TO OVERFUEL THAT SUCH PERSON HAS THE AUTHORITY TO BIND SUCH ENTITY AND ITS AFFILIATES TO THESE TERMS AND CONDITIONS. IF THE PERSON EXECUTING OR ASSENTING TO THIS AGREEMENT DOES NOT HAVE SUCH AUTHORITY, THEN CUSTOMER MUST NOT ACCEPT THIS AGREEMENT AND MAY NOT USE THE SERVICE.

  1. DEFINITIONS

“Affiliate” shall mean, with respect to a party, any entity, whether incorporated or not, that directly or indirectly controls, is controlled by, or is under common control with such party or its corporate parent, where “control” (or variants of it) shall mean the ability (whether directly or indirectly) to direct the affairs of another by means of ownership, contract or otherwise.

“Business Policies” means compliance and permission levels as it relates to best practices.

“Confidential Information” shall have the meaning set forth in Section 6. 

“Current Data” means internal data logs including bounces, complaints, and suppressions.

“Customer Data” shall mean all electronic data or information submitted or provided by Customer to the Service, except that Customer Data shall not include Customer Statistics.

Customer Statistics” shall mean data and information related to Customer’s use of the Service that are used by Overfuel in an aggregated, anonymized manner to compile statistical and performance information related to the provision and operation of the Service, and for any other use permitted by this Agreement.

“Infrastructure” means internal systems as they relate to IP address structure, volume throttling, compliance, and IP/domain authentication.

“Malicious Code” shall mean any and all disabling devices including, but not limited to, viruses, worms, time bombs, Trojan horses and other harmful or malicious code, files, scripts, agents or programs.

“Service” means the online, internet-based application(s) provided by Overfuel via http://www.overfuel.com and/or other related websites, including associated offline components, as described in the Service Order Form and any other Overfuel-published documentation relating to the Service.

“Service Fees” shall have the meaning set forth in Section 4.

“Service Order Form” shall mean the ordering documents for Customer’s purchase(s) of Service from Overfuel that are executed hereunder by the parties from time to time. Service Order Forms shall be deemed incorporated herein.

“Start Date” shall mean the date on which Overfuel shall make the Service available to Customer as set forth in an applicable Service Order Form.

“Subscription Term” shall mean the subscription period set forth on an applicable Service Order Form.

“Term” shall have the meaning set forth in Section 10.1.

  1. SERVICE
    1. Provision of Service. Overfuel shall make the Service available to Customer pursuant to this Agreement and all applicable Service Order Forms during the relevant Subscription Term. The parties may enter into one or more Service Order Forms for the purposes of setting forth (a) the scope of Service; and (b) payments for such Service. Customer’s purchase of Service is not contingent upon the delivery of any future functionality or features. All rights not expressly granted to Customer hereunder are reserved by Overfuel.
    2. Customer Affiliates. Customer Affiliates may purchase and use subscriptions to the Service subject to the terms of this Agreement by entering into one or more separate Service Order Form(s) with Overfuel hereunder. This Agreement shall apply to such Customer Affiliates and such Affiliates shall be deemed the “Customer” as contemplated herein.
  1. USE OF THE SERVICE
    1. Overfuel Responsibilities. Overfuel shall: (a) use commercially reasonable efforts to ensure that the Service performs in material compliance with the applicable Service Order Form(s) and any Overfuel-published documentation related to the Service; (b) provide basic support to Customer at no additional charge, according to Section 3 of the Service Level Agreement attached hereto as Exhibit B; and (c) use commercially reasonable efforts to provide the Service pursuant to the Service Level Agreement attached hereto as Schedule B.
    2. Customer Responsibilities. Customer is responsible for all activities that occur in Customer’s account(s). Customer shall: (a) have sole responsibility for the accuracy, quality, integrity, legality, reliability, and appropriateness of all Customer Data; (b) prevent unauthorized access to, or use of, the Service, and notify Overfuel promptly of any such unauthorized access or use by emailing support@overfuel.com; and (c) comply with all applicable local, state, federal and foreign laws in using the Service.
    3. Use Guidelines. Customer shall use the Service solely for Customer’s business purposes as contemplated by this Agreement and shall not: (a) license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, time share or otherwise commercially exploit or make the Service available to any third party except as contemplated by this Agreement; (b) send via or store within the Service any infringing, obscene, threatening, defamatory, fraudulent, abusive, or otherwise unlawful or tortious material, including material that is harmful to children or violates third party privacy rights; (c) send via, upload to, or store within the Service any Malicious Code; (d) interfere with or disrupt the integrity or performance of the Service or the data contained therein; or (e) attempt to gain unauthorized access to the Service or its related systems or networks. Customer may share reports generated by the Service and provided to Customer, with Customer’s customers, partners, affiliates, contractors, etc.
  1. FEES & PAYMENT
    1. Service Fees. Customer shall pay all fees specified in all Service Order Forms hereunder (the “Service Fees”). Except as otherwise specified in a Service Order Form, Service Fees are based on the Service purchased and not actual usage; payment obligations are non-cancelable; Service Fees paid are non-refundable; and the Service purchased cannot be decreased during the relevant Subscription Term.
    2. Invoicing and Payment. Service Fees will be invoiced in advance and in accordance with the applicable Service Order Form. Customer shall pay invoices as stated in such Service Order Form. Customer is responsible for maintaining complete and accurate billing and contact information with the Overfuel.
    3. Overdue Payments. Customer’s failure to pay as set forth herein shall constitute a material breach of this Agreement. If Customer’s account is thirty (30) days or more overdue (except with respect to charges then under reasonable and good faith dispute), Overfuel may, in addition to any of its other rights or remedies, suspend Customer’s access to the Service, without liability to Customer, until such amounts are paid in full. If such failure to pay has not been cured within thirty (30) days of the due date, then upon written notice, Overfuel may terminate this Agreement and any or all outstanding Service Order Forms. Any payments received by Overfuel more than thirty (30) days after a due date (except with respect to charges then under reasonable and good faith dispute) may be subject to a service charge on the unpaid amount of one and one-half percent (1.5%) per month, which service charge shall be immediately due and payable. Overfuel shall be entitled to all costs and expenses, including reasonable attorney’s fees, incurred in connection with the collection of any overdue amounts owed by Customer under this Agreement.
    4. Taxes. Unless otherwise stated, Service Fees do not include any direct or indirect local, state, federal or foreign taxes, levies, duties or similar governmental assessments of any nature, including value-added, use or withholding taxes (collectively, “Taxes”). Customer is responsible for paying all Taxes associated with its purchases hereunder, excluding taxes based on Overfuel’s net income or property. If Overfuel has the legal obligation to pay or collect Taxes for which Customer is responsible under this Agreement, the appropriate amount shall be invoiced to and paid by Customer, unless Customer provides Overfuel with a valid tax exemption certificate authorized by the appropriate taxing authority.
    5. Payment of third party vendors
  1. PROPRIETARY RIGHTS
    1. Reservation of Rights. Subject to the limited rights expressly granted hereunder, Overfuel reserves all rights, title and interest in and to the Service, including all related intellectual property rights. No rights are granted to Customer hereunder other than as expressly set forth herein.
    2. Restrictions. Customer shall not (a) modify, copy or create derivative works based on the Service; (b) frame or mirror any content forming part of the Service, other than on Customer’s own intranets or otherwise for its own internal business purposes; (c) reverse engineer the Service; or (d) access the Service in order to (i) build a competitive product or service, or (ii) copy any ideas, features, functions or graphics of the Service.
    3. Customer Data. As between Overfuel and Customer, Customer exclusively owns all rights, title and interest in and to all Customer Data. Customer hereby grants to Overfuel a non-exclusive, royalty-free, worldwide license to reproduce and otherwise make use of and display Customer Data and perform all acts with respect to the Customer Data as may be necessary for Overfuel to provide the Service to Customer. Nothing contained in this Section 5.3 shall be construed as granting Overfuel the right to sell, publicly distribute, publicly display, or publish Customer Data, except that the immediately preceding clause shall not apply to Customer Statistics.
    4. Improvements. Overfuel shall own all rights, title and interest, including all intellectual property rights, in and to any improvements to the Service or any new programs, upgrades, modifications or enhancements developed by Overfuel or Customer in connection with rendering the Service to Customer, even when refinements and improvements result from Customer’s request. To the extent, if any, that ownership in such refinements and improvements does not automatically vest in Overfuel by virtue of this Agreement or otherwise, Customer hereby transfers and assigns (and, if applicable, shall cause its Affiliates to transfer and assign) to Overfuel all rights, title, and interest which Customer or its Affiliates may have in to such refinements and improvements. Customer shall take any and all actions reasonably requested by Overfuel in order to effectively transfer and assign such ownership to Overfuel or to confirm such ownership to a third party.
    5. Publicity; Trademarks. Neither party may issue press releases or any other public announcement of any kind relating to this Agreement without the other party’s prior written consent. Notwithstanding the foregoing, during the Term, either party may include the name and logo of the other party in lists (including on its website) of customers or vendors in accordance with the other party’s standard logo and/or trademark usage guidelines. Except as set forth herein or in any Service Order Form, neither party may use the trademarks and trade names of the other party without the prior written consent of the other party.
    6. Customer Statistics. Customer expressly acknowledges that Overfuel shall have the right to monitor Customer’s use of the Service and collect and compile Customer Statistics. Overfuel shall retain all right, title, and interest in and to Customer Statistics. Overfuel shall have the right to compile Customer Statistics based upon Customer Data sent via, uploaded, or input into the Service. Overfuel shall have the right to make use of Customer Statistics for purposes of improving the Service, developing new products and services, and any other internal business purpose. Notwithstanding the foregoing, to the extent that any Customer Statistics include information or data subject to federal or state information privacy or security regulations, Provider shall only be entitled to use such Customer Statistics in accordance with and to the extent permitted by applicable laws.
  1. CONFIDENTIALITY
    1. Definition of Confidential Information. As used herein, “Confidential Information” means all confidential and proprietary information of a party (“Disclosing Party”) disclosed to the other party (“Receiving Party”) that (a) if disclosed orally is designated as confidential at the time of disclosure, (b) if disclosed in writing is marked as “Confidential” and/or “Proprietary”, or (c) that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including, without limitation, the terms and conditions of this Agreement (including pricing and other terms reflected in all Service Order Forms hereunder), the Customer Data, provision of the Services, business and marketing plans, technology and technical information, product designs, and business processes. Notwithstanding the foregoing, each party may disclose the existence and terms of this Agreement, in confidence, to a potential purchaser of or successor to any portion of such party’s business resulting from the reorganization, spin-off, or sale of all or a portion of allf the assets of any business, division, or group of such party. Confidential Information shall not include any information that: (i) is or becomes generally known to the public without breach of any obligation owed to the Disclosing Party; (ii) was known to the Receiving Party prior to its disclosure by the Disclosing Party without breach of any obligation owed to the Disclosing Party; (iii) was independently developed by the Receiving Party without breach of any obligation owed to the Disclosing Party; or (iv) is received from a third party without breach of any obligation owed to the Disclosing Party.
    2. Confidentiality. The Receiving Party shall not disclose or use any Confidential Information of the Disclosing Party for any purpose outside the scope of this Agreement, except with the Disclosing Party’s prior written consent. Notwithstanding the foregoing, the Receiving Party may disclose such Confidential Information to those of its employees and contractors who need to know such information for purposes of performing the Service and certifies that such employees and contractors have agreed, either as a condition of employment or in order to obtain the Confidential Information, to be bound by terms and conditions substantially similar to those in this Agreement. The Receiving Party shall use the same degree of care to protect the Confidential Information as it uses to protect its own information of a confidential and proprietary nature, but in no event shall it use less than a reasonable degree of care.
    3. Compelled Disclosure. If the Receiving Party is compelled by law to disclose Confidential Information of the Disclosing Party, it shall provide the Disclosing Party with prior notice of such compelled disclosure (to the extent legally permitted) and reasonable assistance, at Disclosing Party’s cost, if the Disclosing Party wishes to contest the disclosure.
    4. Remedies. If the Receiving Party discloses or uses (or threatens to disclose or use) any Confidential Information of the Disclosing Party in breach of confidentiality protections hereunder, the Disclosing Party shall have the right, in addition to any other remedies available to it, to seek injunctive relief to enjoin such acts, it being specifically acknowledged by the parties that any other available remedies are inadequate.
    5. Survival. Notwithstanding the expiration or termination of this Agreement for any reason, the obligations of confidentiality and non-use set forth in this Section shall extend for a period of two (2) years after such expiration or termination.
  1. WARRANTIES & DISCLAIMERS
    1. Mutual Warranties. Each party represents and warrants that it has the legal power to enter into this Agreement; that the signatory hereto has the authority to bind the applicable organization; and when executed and delivered, this Agreement will constitute the legal, valid, and binding obligation of each party, enforceable in accordance with its terms.
    2. Overfuel Warranties. Overfuel represents and warrants that: (a) the functionality of the Service will not be materially decreased during a Subscription Term; (b) Overfuel shall utilize software and other security means to prevent the Service from containing or transmitting Malicious Code; and (c) it owns or otherwise has sufficient rights in the Service to grant to Customer the rights to use the Service granted herein.
    3. Disclaimer. EXCEPT AS OTHERWISE SPECIFICALLY PROVIDED HEREIN AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, Overfuel EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, CONDITIONS, REPRESENTATIONS, AND GUARANTEES WITH RESPECT TO THE SERVICE, WHETHER EXPRESS OR IMPLIED, ARISING BY LAW, CUSTOM, PRIOR ORAL OR WRITTEN STATEMENTS, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. NO REPRESENTATION OR OTHER AFFIRMATION OF FACT, INCLUDING, WITHOUT LIMITATION, STATEMENTS REGARDING CAPACITY, SUITABILITY FOR USE OR PERFORMANCE OF THE SERVICES, NOT CONTAINED IN THIS AGREEMENT SHALL BE DEEMED TO BE A WARRANTY BY OVERFUEL.
  1. INDEMNIFICATION
    1. By Overfuel. Overfuel shall defend, indemnify and hold Customer harmless against any loss, damage or costs (including reasonable attorneys’ fees) incurred in connection with claims, demands, suits or proceedings (“Claims”) made or brought against Customer by a third party alleging that Customer’s use of the Service within the scope of this Agreement infringes the intellectual property rights of such third party, except that Overfuel shall have no such indemnification obligation to the extent such infringement: (a) relates to use of the Service in combination with other software, data products, processes, or materials not provided by Overfuel and the infringement would not have occurred but for the combination; (b) arises from or relates to modifications to the Service not made or authorized by Overfuel; (c) where Customer continues the activity or use constituting or contributing to the infringement after notification thereof by Overfuel; or (d) arises from Overfuel’s use of Customer Data or Customer Statistics in accordance with the terms of this Agreement.
    2. By Customer. Customer shall defend, indemnify, and hold Overfuel harmless against any loss, damage, or costs (including reasonable attorneys’ fees) incurred in connection with: (a) a Claim resulting from Customer’s use of the Service other than in compliance with the terms of this Agreement; (b) Customer Data provided to Overfuel infringing the intellectual property rights of a third party; (c) Customer’s use, in connection with its provision of the Service, of any Customer Data that is alleged to harm or has harmed a third party; or (d) arises from Customer’s negligence or willful misconduct.
    3. Procedure. As an express condition to the indemnifying party’s obligation under this Section 8, the party seeking indemnification must: (a) promptly notify the indemnifying party in writing of the applicable Claim for which indemnification is sought; and (b) provide the indemnifying party with all non-monetary assistance, information and authority reasonably required for the defense and settlement of such Claim. The indemnifying party may select counsel for defense of the Claim and direct the course of any litigation or other disputed proceedings concerning the Claim. The indemnified party may select its own counsel and direct its own defense of a Claim if it chooses to do so, but it must bear the costs of its own counsel and any activities in any disputed proceeding conducted by counsel of its choosing. The indemnifying party may settle any Claim, to the extent it seeks a money payment, with or without the consent of the indemnified party. The indemnifying party must obtain the indemnified party’s consent to any settlement to the extent it consents to injunctive relief or contains contract terms governing future activities that would materially affect the indemnified party’s business or interests, said consent not to be unreasonably withheld, conditioned or delayed.
  1. LIMITATIONS
    1. Limitation of Liability. IN NO EVENT SHALL EITHER PARTY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY, EXCEED THE LESSER OF FIFTY THOUSAND DOLLARS ($50,000) OR THE AMOUNT ACTUALLY PAID BY CUSTOMER HEREUNDER IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT GIVING RISE TO LIABILITY.
    2. Exclusion of Consequential and Related Damages. IN NO EVENT SHALL EITHER PARTY HAVE ANY LIABILITY TO THE OTHER PARTY FOR ANY LOST PROFITS OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, CONSEQUENTIAL OR SPECIAL DAMAGES OF ANY KIND OR NATURE HOWEVER CAUSED AND, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY, WHETHER OR NOT THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
    3. Time to File Claim. NO CLAIM MAY BE BROUGHT BY CUSTOMER UNDER THIS AGREEMENT MORE THAN ONE (1) YEAR AFTER THE ACCRUAL OF THE CLAIM.
  1. TERM & TERMINATION
    1. Term of Agreement. This Agreement commences on the Start Date and continues until terminated as set forth in this Section 10 (the “Term”).
    2. Term of Subscriptions. Subscriptions to the Service commence on the Start Date and continue for the Subscription Term specified in the applicable Service Order Form. Unless (a) otherwise set forth in a Service Order Form, or (b) Customer provides Overfuel with at least fourteen (14) days written notice in advance of the expiration of the then-current Subscription Term, subscriptions shall automatically renew for additional periods as identified in the  initial order.
    3. Termination for Cause. A party may terminate this Agreement for cause: (a) upon thirty (30) days’ written notice of a material breach to the other party if such breach remains uncured at the expiration of such period; or (b) immediately if the other party becomes the subject of a petition in bankruptcy or any other proceeding relating to insolvency, receivership, liquidation or assignment for the benefit of creditors and is not dismissed within sixty (60) days. Upon any termination for cause by Customer, Overfuel shall refund Customer any prepaid fees covering the remainder of the Subscription Term after the effective date of termination. Termination for cause by Customer shall not relieve Customer of the obligation to pay any fees accrued or payable to Overfuel prior to the effective date of termination. Upon any termination for cause by Overfuel, Customer shall remain obligated to pay all fees owed for the remainder of the Subscription Term, all of which fees shall become immediately due and payable in full.
    4. Customer Data. Following the expiration or termination of this Agreement, Overfuel shall (a) convert Customer’s account to an inactive status, and (b) have no obligation to save Customer Data.
    5. Surviving Provisions. Section 1 and Sections 5 through 10 shall survive any termination or expiration of this Agreement.
  1. GENERAL PROVISIONS
    1. Relationship of the Parties. Overfuel is an independent contractor of Customer. This Agreement does not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship between the parties.
    2. No Third-Party Beneficiaries. There are no third-party beneficiaries to this Agreement.
    3. Notices. All notices under this Agreement shall be in writing and shall be deemed to have been given upon: (a) personal delivery; (b) the second (2nd business day after mailing with confirmed delivery; or (c) the second (2nd) business day after sending by email. Any notice provided via email shall be addressed to Overfuel at legal@Overfuel.com. Any other notice shall be addressed to Overfuel at 9247 North Meridian St. Suite 375, Indianapolis, IN 46260. Notices to Customer shall be addressed to Customer’s signatory of this Agreement, at the address listed in the most recent Order Form, unless more recently updated.
    4. Waiver and Cumulative Remedies. No failure or delay by either party in exercising any right under this Agreement shall constitute a waiver of that right. Other than as expressly stated herein, the remedies provided herein are in addition to, and not exclusive of, any other remedies of a party at law or in equity.
    5. Severability. Any provision of this Agreement which is prohibited and unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof or affecting the validity or enforceability of such provisions in any other jurisdiction.
    6. Assignment. Neither party may assign any of its rights or obligations hereunder, whether by operation of law or otherwise, without the prior written consent of the other party (not to be unreasonably withheld, conditioned or delayed). Notwithstanding the foregoing, either party may assign this Agreement in its entirety (including all Service Order Forms), without consent of the other party, in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets not involving a direct competitor of the other party. Any attempt by a party to assign its rights or obligations under this Agreement in breach of this Section shall be void and of no effect. Subject to the foregoing, this Agreement shall bind and inure to the benefit of the parties, their respective successors and permitted assigns.
    7. Governing Law. This Agreement shall be governed exclusively by the internal laws of the State of Indiana, without regard to its conflicts of laws rules. The state and federal courts located in Marion County (Indianapolis), Indiana shall have exclusive jurisdiction to adjudicate any dispute arising out of or relating to this Agreement. Each party consents to the exclusive jurisdiction of such courts. Each party also waives any right to jury trial in connection with any action or litigation in any way arising out of or related to this Agreement.
    8. Force Majeure. If either party is rendered unable, wholly or in part, by force majeure to carry out its obligations under this Agreement, that party shall give to the other party prompt notice of the force majeure with reasonably full particulars concerning it. Thereupon the obligations of the party giving notice, so far as they are affected by the force majeure, shall be suspended during, but no longer than, the continuance of the force majeure. The affected party shall use all reasonable diligence to remove the force majeure as quickly as possible. The term “force majeure” shall without limitation mean an act of God, strike, industrial disturbance, act of the public enemy, war, blockage, public riot, lightning, fire, storm, flood, failure of utilities, failure of internet collocation facilities or other Internet failure, any unauthorized server or computer violation or other security violation, explosion, governmental restraint, or any other cause, whether of the kind specifically enumerated above or otherwise, which is not reasonably within the control of the party claiming suspension.
    9. Entire Agreement. This Agreement, including all Service Order Forms, constitutes the entire agreement between the parties, and supersedes all prior and contemporaneous agreements, proposals or representations, written or oral, concerning its subject matter. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless in writing and signed by the party against whom the modification, amendment or waiver is to be asserted. To the extent of any conflict or inconsistency between the provisions in the body of this Agreement and any Service Order Form, the terms of this Agreement shall prevail unless expressly stated otherwise in the applicable Service Order Form. Notwithstanding any language to the contrary therein, no terms or conditions stated in any purchase order or in any other order documentation (excluding Service Order Forms) shall be incorporated into or form any part of this Agreement, and all such terms or conditions shall be null and void. The language used in this Agreement shall be deemed to be language chosen by both parties hereto to express their mutual intent, and no rule of strict construction against either party shall apply to rights granted herein or to any term of condition of this Agreement.
    10. Counterparts. This Agreement may be executed in counterparts, which taken together shall form one legal instrument. Delivery of a fully executed counterpart signature page of this Agreement by facsimile, email, or other electronic transmission shall be effective as delivery of a manually executed counterpart of this Agreement.

Exhibit B
Service Level Agreement

Capitalized terms used but not otherwise defined in this Service Level Agreement (“SLA”) shall have the meaning ascribed to them in Agreement.

1. Availability and Maintenance.

  1. End User Functions – The Service will be available for use pursuant to the Agreement 99.5% of the time over the course of each calendar month, subject to the exceptions noted in Section 1.2 of this SLA.
  2. Exceptions to Availability – The Service may not be available for use under the following circumstances: (i) Planned Maintenance and Emergency Maintenance as described in Sections 1.3 and 1.4 below; (ii) the negligent or willful acts or omissions of Customer, its employees, contractors or agents, (iii) the failure or malfunction of equipment, applications or systems not controlled by Overfuel; (iv) any third party or public network or systems unavailability; (v) circumstances or causes beyond the control of Overfuel, including instances of force majeure; or (vi) breach of the Agreement by Customer.
  3. Planned Maintenance – Planned Maintenance means performing preventive maintenance or hardware and software upgrades to the components of the Service to add features or repair errors that are not immediately affecting Customer’s use of the Service. Overfuel shall make commercially reasonable efforts to conduct Planned Maintenance between the hours of 5 p.m. Friday through 6 p.m. Sunday Eastern Standard Time.
  4. Emergency Maintenance – Emergency Maintenance means performing maintenance on the software or hardware components of the Service to repair errors that are immediately affecting Customers’ use of the Service. During Emergency Maintenance the Service may be unavailable. Overfuel may undertake Emergency Maintenance at any time deemed necessary. The Service may be down for Emergency Maintenance a total of two (2) hours per month.
  5. Notification – Overfuel will take commercially reasonable efforts to provide a minimum of forty-eight (48) hours prior notice for Planned Maintenance and two (2) hours prior notice for any required Emergency Maintenance by posting a notification on Overfuel’s website.

2. Downtime and Credits. Overfuel will grant a credit allowance to Customer if Customer experiences Unavailability of the Service in any calendar month. Such credit allowance shall be equal to the prorated charges of the amount paid for the period of unavailability. For purposes of this SLA, the term “Unavailability” shall mean the number of minutes that the Service is unavailable to Customer during a given calendar month in excess of Section 1.1 above, but under no circumstances shall Unavailability include any downtime which is the result of any of the exceptions noted in Section 1.2 above. Upon Customer’s written request to Overfuel, Overfuel shall provide Customer with a written report detailing all instances of Unavailability during the previous month, including, without limitation, the start time and duration of each outage. Any credit allowances accrued by Customer may be offset against any and all payments owed to Overfuel pursuant to the Agreement, provided that a maximum of one (1) month of credit may be accrued per month.

3. Overfuel Basic Support. 

  1. Resources. Each Customer will be assigned a dedicated account manager and have access to Overfuel Basic Support. Overfuel Basic Support includes the following: (a) Account Changes – Overfuel will provide Customer with assistance in updating account configuration, including, but not limited to, user management, ownership, and setup; (b) Basic training – Overfuel will work directly with Customer to provide basic training on the Service; (c) Break/Fix Reporting and Problem Management – in the event a bug or error arises while using the Service, Overfuel will gather information from Customer, and work with the development/engineering teams to address the issue as quickly as possible; and (d) Feature Requests – Overfuel will field requests for improvements and potential changes to the Service. 
  2. Response Time.
  1. Overfuel Support – All Service support inquiries will be reviewed, and a corresponding response will be returned within 1 business day;
  2. Overfuel Account Manager – All account manager inquiries will be reviewed, and a corresponding response will be returned within three (3) business days of submission.
  3. Overfuel Business Hours – Monday through Friday, 8 a.m. to 6 p.m. Eastern Standard Time, with the exception of all U.S. Federal paid holidays.

  1. Overfuel Support – The support team can be reached directly via the Contact Support feature within the Service or directly at support@overfuel.com.
  2. Overfuel Account Manager – Upon provisioning of your account, an Overfuel account manager will be assigned and relevant contact information will be provided.

Periodic Modification. Customer agrees and acknowledges that over time, technology and market conditions may affect the service levels that are feasible and that become necessary in order to maintain the Service on a competitive level in the marketplace. As a result, this SLA may be amended from time to time by Overfuel during the Term of the Agreement to incorporate all improvements included in this SLA offered to new customers of Overfuel. Such amendments shall be delivered by e-mail to the primary representative of Customer and shall become effective upon receipt by Customer.
